Terms of Service

These Terms of Service ("Terms") govern access to and use of NudgeForge's website, Chrome extension, desktop application, hosted backend, and related services (collectively, the "Service"), operated by CompilerFlow. By installing the extension or desktop app, creating an account or trial, or clicking "I agree," you accept these Terms on behalf of yourself and, if applicable, the organization you represent.

1. The Service

NudgeForge is a business-to-business subscription tool that captures the live captions of a sales representative's Google Meet call, sends that transcript to CompilerFlow's hosted backend, and returns short AI-generated suggestions ("nudges") grounded in the customer's own uploaded knowledge base. Some plans additionally offer a native desktop application and call recording. The Service is sold per seat, per month.

2. Accounts & Eligibility

You must be at least 18 years old and have the authority to bind your organization to use the Service. You are responsible for keeping your pairing code and account credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.

NudgeForge processes what is said on your calls and, on some plans, records call audio and video. You and your organization are solely responsible for notifying call participants that the call is recorded and AI-assisted, obtaining any consent required, and complying with all applicable consent, privacy, and recording laws. CompilerFlow does not provide legal advice and is not a party to your calls.

5. AI Features

Nudges and call summaries are generated using third-party large language model providers, which currently include OpenAI and Google (Gemini). The transcript text of your call, recent conversation context, and relevant excerpts from your knowledge base are transmitted to the configured provider solely to generate a response. AI-generated output may be inaccurate, incomplete, or unsuitable; you remain responsible for reviewing anything the Service suggests before acting on it. CompilerFlow may change or add AI providers, and may set the provider on a per-customer basis.

6. Customer Data

As between you and CompilerFlow, you retain all rights to the transcripts, recordings, knowledge-base files, and other content your organization submits ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely as necessary to provide and support the Service, including the AI processing described above. Paid plans are billed in advance on a monthly or annual basis through our payment processor, Paddle, which acts as the merchant of record. Refund and cancellation terms are in our Refund & Cancellation Policy. We may change pricing for future billing cycles with reasonable advance notice.

8. Termination

You may cancel at any time (see the Refund & Cancellation Policy). We may suspend or terminate access if you materially breach these Terms and fail to cure the breach after notice, or immediately if necessary to prevent harm to the Service, to other customers, or to third parties.

9. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, that captions will be captured accurately, or that AI-generated output will be accurate.

To the fullest extent permitted by law, CompilerFlow will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or relating to your use of the Service, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms, whether in contract, tort, or otherwise, will not exceed the total fees you actually paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or willful misconduct.

10. Indemnification

You agree to indemnify, defend, and hold harmless CompilerFlow and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Service; (b) Customer Data you submit, including any lack of a lawful basis to share it with us or the AI providers; (c) your failure to make any required recording or AI-assistance disclosure; (d) your violation of these Terms or of any applicable law; or (e) your infringement of any third party's rights.

11. Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, internet or utility outages, or failures of third-party infrastructure, hosting, AI providers, or other subprocessors we rely on.

12. Governing Law & Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. This does not remove any protection consumer law gives you if you are a consumer resident elsewhere.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-product. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
